TERMS OF SERVICE AND SUBSCRIPTION AGREEMENT – EMPLOYERS AND RECRUITERS

1. PARTIES

1.1 CONEXAO CENTRO DE AVALIACAO PSICOLOGICA E DESENVOLVIMENTO HUMANO LTDA, a Brazilian limited liability company registered under CNPJ No. 31.123.575/0001-25, with its principal office at Rua Guerino Fontana, 335, Sala 01, Bom Jesus, Curitibanos, SC, 89520-000, Brazil, owner of the LOOK JOBS platform available at www.look-jobs.com ("LOOK JOBS"); and

1.2 The company or individual registered on the Site as an employer or recruiter, identified by the information in their account and by their username and password ("EMPLOYER").

2. PURPOSE

2.1 This Agreement covers the following tools that LOOK JOBS provides to the EMPLOYER through www.look-jobs.com (the "Site"):

a) posting, viewing, adding and editing job openings;

b) viewing and printing resumes;

c) showcasing the company on the Site;

d) access to content from LOOK JOBS or third parties made available by LOOK JOBS.

2.1.1 Posting on LOOK JOBS DOES NOT GUARANTEE THAT THE EMPLOYER WILL RECEIVE RESUMES OR HIRE CANDIDATES. LOOK JOBS is not a staffing agency and does not take part in hiring: the Site is only an online tool for posting jobs, viewing resumes and using the other features of the Site.

2.2 This Agreement applies to the Parties above and to the use of the content that LOOK JOBS provides to the EMPLOYER. Access to the content requires acceptance of this Agreement and compliance with the Privacy Policy available on the Site.

2.3 The EMPLOYER accepts this Agreement by clicking "I HAVE READ AND AGREE" when signing up or reactivating the subscription.

2.4 The person who signs up on behalf of a company confirms that they are authorized to accept this Agreement on its behalf.

2.5 The Parties accept the email address provided at sign-up as a valid means of communication, and the Site as a sufficient means of delivering content and handling any matter related to the subscription.

2.6 Access to the Employer Area requires the username and password created at sign-up and is reserved exclusively for the EMPLOYER.

2.6.1 The EMPLOYER is solely responsible for keeping their username and password safe. They are for business use and may not be transferred.

2.6.2 LOOK JOBS is not liable for damages resulting from third parties using the EMPLOYER's username and password.

2.7 The EMPLOYER is solely responsible for the content of its job posts and for any damages they may cause.

3. TERM

3.1 This Agreement has no fixed term and remains in effect while the EMPLOYER keeps an active account on the Site.

4. RIGHTS AND OBLIGATIONS OF LOOK JOBS

4.1 LOOK JOBS will keep the Site available 24 hours a day, 7 days a week. The EMPLOYER understands that, as an online service that depends on third-party telecommunications, the Site may occasionally be unavailable, and that LOOK JOBS does not guarantee uninterrupted access.

4.2 LOOK JOBS may, without prior notice: perform maintenance to improve the Site's tools and content; and make changes in extraordinary or unforeseeable situations.

4.3 LOOK JOBS may remove any account or job post that contains false or inconsistent information or that does not comply with LOOK JOBS policies.

4.4 LOOK JOBS may close the EMPLOYER's account if it is proven that the EMPLOYER misused the Site, such as trying to access pages or data not intended for them, protected by someone else's password or located in internal areas of the Site. Any right not expressly granted to the EMPLOYER is reserved to LOOK JOBS.

4.5 LOOK JOBS may suspend the EMPLOYER's access, until the issue is resolved, if the name does not match the tax ID provided (for example, EIN in the United States, RFC in Mexico, or CNPJ/CPF in Brazil), if there is any other inconsistency in the account, or if a payment is overdue.

4.6 LOOK JOBS may suspend and remove employers that do not comply with the laws of the country where the job is offered or with LOOK JOBS policies. The following job posts and offers (by phone, email or any other means) are prohibited, among others:

a) those that require candidates, before, during or after the hiring process, to pay any fee or amount, or to work without pay, for the employer or for third parties;

b) those involving pyramid schemes, "work from home" schemes, chain letters or any irregular or illegal activity;

c) those that are discriminatory or violate the laws of the country where the job is offered or the rights of others, including references to sex, age, race, color, religion, health condition, disability, sexual orientation, gender identity, family status, pregnancy, political opinion, national origin, social origin or any other form of discrimination, except when the nature of the job clearly requires it and local law allows it;

d) those with prior-experience requirements that violate the laws of the country where the job is offered;

e) those offering consulting services instead of a real job opportunity;

f) those using third-party data without authorization;

g) those whose job description or candidate profile does not match the business of the employer or of the company offering the job;

h) those that do not match the profile of the Site's users.

4.7 Because LOOK JOBS does not take part in negotiations between the EMPLOYER and candidates, the EMPLOYER agrees that LOOK JOBS is not liable for any losses or damages arising from those negotiations.

4.8 By accepting this Agreement, the EMPLOYER authorizes LOOK JOBS to keep its account and any other information it adds to the Site in its database. The EMPLOYER may withdraw this authorization at any time by emailing LOOK JOBS, at no cost.

4.9 The EMPLOYER understands that company details and job posts will be visible to Site users, except for information it marks as confidential (for example, by choosing to hide the company name on a job).

4.10 Sharing Site content intended for users, paying or not, is prohibited except through links to the Site itself, whether on social media, by email or by any other means. If this rule is broken, LOOK JOBS may, at its discretion, suspend or cancel the EMPLOYER's access.

5. RIGHTS AND OBLIGATIONS OF THE EMPLOYER

5.1 The EMPLOYER is solely responsible for the internet access needed to use the Site.

5.2 The EMPLOYER is solely responsible for:

(a) the accuracy of its information;

(b) the proper use of its username and password, which are for business use and non-transferable;

(c) any activity carried out under its account;

(d) its internet access, being liable for the civil and criminal consequences of any error or misconduct when using the Site; and

(e) acts committed by third parties in its name using its username and password, where the EMPLOYER is proven to be at fault.

5.3 The EMPLOYER authorizes LOOK JOBS to store its account on its servers and to share account information with:

(a) competent public authorities that formally request it, as required by applicable law; and

(b) strategic, business or technical partners, to provide and improve the Site's services. The EMPLOYER agrees that LOOK JOBS may collect browsing information to measure traffic, identify user profiles and guide advertising.

5.4 The EMPLOYER will use resumes and candidate data obtained on the Site only for its own hiring processes, in compliance with applicable data protection laws, and may not sell or pass them on to third parties.

5.5 The EMPLOYER must pay LOOK JOBS the price of the plan purchased, on the dates and at the frequency shown, according to the option chosen on the Site.

5.6 The EMPLOYER authorizes the use of the company's name, brand and logo, and the information entered on the Site, without compensation, for display in areas of the Site, including the company list.

6. GENERAL TERMS

6.1 The EMPLOYER accepts these terms by clicking "I HAVE READ AND AGREE" on the employer sign-up form.

6.2 By completing its account on the Site, the EMPLOYER grants LOOK JOBS, free of charge and revocably, the use of its account details (name, address, email, etc.) and business information, only for internal purposes related to the Site's activities. This authorization may be withdrawn at any time by emailing [email protected].

6.3 If any provision of this Agreement is found invalid, the other provisions remain in effect, and the invalid provision will be rewritten in accordance with applicable law, without harm to the EMPLOYER.

6.4 The EMPLOYER confirms that it had access to this Agreement on the Site beforehand, with the option to print it, and that it has read and agrees to all of its terms.

7. PERSONAL DATA PROTECTION

7.1 LOOK JOBS processes the personal data of the EMPLOYER and its representatives in accordance with the data protection laws that apply in the country where they are established, including, as applicable: in the United States, applicable federal and state laws; in Brazil, the General Data Protection Law (Law No. 13,709/2018 – LGPD); and in Mexico, the Federal Law on the Protection of Personal Data Held by Private Parties.

7.2 The EMPLOYER understands, agrees and authorizes LOOK JOBS to process this data to create and maintain its account, provide support and send communications by email, phone, app and on the Site, and understands that LOOK JOBS may share it with business partners to provide its services and comply with applicable law.

(x) I agree to receive communications from LOOK JOBS.

(x) I authorize the use of name, image and voice on LOOK JOBS media and digital platforms, for news, educational, promotional and advertising purposes, in photo, video and audio.

7.3 To change these consents, or to access, correct or delete its data, the EMPLOYER can contact [email protected].

8. JURISDICTION

8.1 Any dispute will be handled in the courts of the EMPLOYER's place of business, in accordance with the laws of its country, unless the Parties expressly and freely agree otherwise.
